Terms of Service
The plain-English terms on which I provide my services. If anything's unclear, just ask before we start.
Last updated: 10 June 2026
1. Who these terms are with
These terms apply to services provided by Smart Little Systems, a sole trader based in Kimberley, Nottingham, United Kingdom ("I", "me", "my"), to you, the client ("you"). They apply alongside any written quote or proposal I give you; where a specific quote and these terms disagree, the quote takes priority.
2. Quotes and agreeing to work
I provide a fixed-price quote for each project based on the scope we discuss. A quote is valid for 30 days unless stated otherwise. Work begins once you've accepted the quote in writing (email is fine) and any agreed deposit has been paid. Anything outside the agreed scope is treated as a new piece of work and quoted separately.
3. Pricing and payment
Prices are agreed up front and fixed for the agreed scope. Unless your quote says otherwise, I may ask for a deposit before starting, with the balance due on completion or, for ongoing work, monthly. Invoices are payable within 14 days. I reserve the right to pause work on overdue accounts. As a small business, I'll always raise any cost concerns with you before doing the work — there are no hidden charges.
4. What I need from you
To keep your project on track, you agree to provide the content, access, logins and feedback I need in reasonable time, and to have the right to use any materials (text, images, logos) you give me. Delays in getting these to me may move the timeline. You're responsible for the accuracy of information you supply.
5. Timelines
I'll give you a realistic timeframe for each project and do my best to meet it. Timeframes are estimates and depend on your input and on third-party services beyond my control; they aren't guaranteed deadlines unless we've agreed one in writing.
6. Revisions and sign-off
Each project includes a reasonable number of revision rounds as set out in your quote. Once you sign off a stage or the final delivery, further changes are treated as new work and quoted separately.
7. Ownership and intellectual property
Once you've paid in full, you own the final deliverables I create specifically for you (such as your website content and design). I may retain ownership of any underlying tools, templates, code libraries or know-how I reuse across projects, and grant you a licence to use them as part of your deliverables. I'd like to reference your project as an example of my work unless you ask me not to.
8. Third-party tools and services
Projects often rely on third-party services (for example hosting, domains, automation platforms, email tools and AI providers). These are governed by their own terms and pricing, which you're responsible for once set up. I'm not liable for outages, changes or charges made by those third parties.
9. Cancellation
You can cancel a project at any time in writing. If you do, you'll be charged for the work completed up to that point, and any non-refundable third-party costs already incurred. Deposits cover work already scheduled and are non-refundable once work has begun.
10. Support after launch
Everything I build is designed to run on its own, and I'll show you how it works. Ongoing support or maintenance is optional and quoted separately — you're never locked into a contract.
11. Liability
I'll carry out my work with reasonable care and skill. To the extent permitted by law, my total liability for any project is limited to the fees you've paid me for that project, and I'm not liable for indirect or consequential losses such as lost profits or data. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be limited by law.
12. Confidentiality
I'll keep any non-public information you share with me confidential and use it only to deliver your project. See the Privacy Policy for how I handle personal data.
13. Governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the courts of England and Wales.
14. Changes to these terms
I may update these terms from time to time. The version in force for your project is the one published when you accepted your quote. The latest version always lives on this page.
